1. Acceptance of Terms
By downloading, installing, or using MeetingVault ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.
MeetingVault is provided by Joe ("Developer," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and the Developer.
2. Description of the Software
MeetingVault is a macOS note-taking application that temporarily captures audio from your microphone and system audio solely for the purpose of on-device transcription. Audio is processed locally using machine learning and is automatically deleted after successful transcription. If transcription fails, audio is preserved for retry and cleaned up within 24 hours. Only text transcripts and notes are retained. No audio files are stored permanently. All transcripts, notes, and meeting data are stored locally on your device.
3. License
Subject to your compliance with these Terms and payment of the applicable license fee, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on any macOS device you own or control, for personal or internal business purposes.
You may not:
- Redistribute, sublicense, rent, lease, or lend the Software
- Reverse engineer, decompile, or disassemble the Software, except as permitted by law
- Remove or alter any proprietary notices or labels on the Software
- Use the Software to provide a competing service
4. Recording Laws Compliance
MeetingVault temporarily captures audio for the purpose of generating text notes. Because this involves audio capture, laws governing the recording of conversations ("Recording Laws") may apply and vary by jurisdiction. In the United States, 11 states require the consent of all parties before a conversation may be recorded. Many other countries impose similar or stricter requirements.
You are solely responsible for:
- Knowing and complying with all Recording Laws applicable to your jurisdiction and the jurisdictions of all parties to any recorded conversation
- Obtaining all rights, permissions, and consents required by applicable Recording Laws before recording any conversation using MeetingVault
- Complying with your organization's policies regarding the recording of meetings and conversations
When participants in a conversation are located in different jurisdictions, the strictest applicable Recording Law governs. For more information, see the Recording Consent Laws reference on Justia.
You represent and warrant that you have obtained all rights, permissions, and consents required by applicable Recording Laws before recording any conversation using MeetingVault. The Developer does not monitor, control, or assume any responsibility for your use of the recording functionality.
5. On-Device Transcription
MeetingVault performs all transcription entirely on your device using a locally downloaded Whisper speech recognition model (sourced from Hugging Face). No audio or transcript data is sent to any external server, cloud service, or third-party provider.
The Whisper model is downloaded once during initial setup and runs locally on your Mac. All processing occurs on-device, and no network connection is required for transcription.
6. No Biometric Data Collection
MeetingVault does not collect, create, or store biometric data. Speaker labels ("Me" and "Them") are determined solely by audio input source (microphone vs. system audio), not by voice analysis, voiceprint matching, or any form of biometric identification.
7. Data Storage and Privacy
Audio is temporarily captured solely for on-device transcription and is automatically deleted after processing. No audio files are retained. Only text transcripts, notes, and meeting metadata are stored, and all such data resides locally on your device. The Developer does not operate servers, databases, or cloud infrastructure that processes or stores your data. 8. Payment and License Keys
MeetingVault is available as a monthly subscription. Payment is processed through Paddle, our Merchant of Record. Founding members lock in $9/month for the life of their subscription. Standard pricing after the founding period is $19/month. Paddle's terms of service apply to all payment transactions.
You may cancel your subscription at any time. Access continues through the end of your current billing period.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Developer from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or connected with:
- Your use of MeetingVault
- Recordings made without required consent or in violation of applicable Recording Laws
- Your violation of these Terms
- Your violation of any applicable law or regulation
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Developer does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected. The Developer does not warrant the accuracy or completeness of any transcription.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
12. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Oklahoma. Judgment upon the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between the Developer and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other, (b) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class-action procedures, and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
13. Age Requirement
MeetingVault is intended for users age 18 and older. By using the Software, you represent that you are at least 18 years of age.
14. Termination
The Developer may terminate your license to use the Software if you breach any provision of these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles.
16. Changes to These Terms
The Developer reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Software after any changes constitutes acceptance of the revised Terms.
17. Refunds
We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with MeetingVault for any reason, contact us within 30 days of your initial purchase and we will issue a full refund — no questions asked.
After the 30-day period, subscription payments are non-refundable. You may cancel your subscription at any time; cancellation stops future billing but does not entitle you to a refund for the current billing period.
